Terms of Service - Coach Agreement

This document requires legal counsel review before production use.
1. Agreement to Terms
By creating an account and using StayConnected Wellness ("Platform"), you ("Coach," "you," or "your") agree to be bound by these Terms of Service.
This Agreement is between you and StayConnected Health Technologies, Inc.
2. What StayConnected Wellness Provides
StayConnected Wellness is a client management and engagement platform for wellness coaches and personal development professionals. We provide:
- Client management and onboarding
- Session documentation and note-taking
- Client journaling, mood tracking, and goal setting
- AI-powered insights and progress tracking
- Secure communication tools
- Per-client metered billing
We are a TOOL to support your coaching practice. We are NOT:
- ❌ Providing wellness or coaching services
- ❌ Providing medical, psychiatric, or therapeutic services
- ❌ Responsible for client outcomes
- ❌ Replacing your professional judgment
3. Scope of Practice - Coaching vs Therapy
Critical Distinction: Wellness coaching is NOT therapy or clinical mental health services.
You agree to:
- ✅ Practice within wellness coaching boundaries (goal-setting, accountability, growth)
- ✅ NOT diagnose, treat, or counsel for mental health conditions
- ✅ NOT provide medical, psychiatric, or clinical advice
- ✅ Refer clients to licensed professionals when needed
- ✅ Make clear you are a coach, not a therapist

4. AI Features and Limitations
AI features are assistive tools ONLY. They are NOT:
- ❌ Coaching directives or recommendations
- ❌ Substitutes for professional coaching judgment
- ❌ Diagnostic or clinical tools
- ❌ Guarantees of accuracy
You must review and verify all AI-generated insights before acting on them.
5. Subscription and Billing
Per-Client Metered Billing: You pay based on active clients.
- Monthly billing on 1st of month for previous month usage
- Auto-renewal unless canceled
- 7-day grace period for failed payments
- No refunds except billing errors
6. Disclaimers
WE ARE NOT LIABLE FOR:
- ❌ Client outcomes or results
- ❌ Your coaching decisions
- ❌ Client dissatisfaction
- ❌ Disputes between you and clients
Our liability is limited to the amount you paid us in the 12 months preceding any claim.
7. Termination and Data
You may cancel anytime. Upon termination:
- 30-day data export window
- Data deleted after 30 days (wellness market - NOT 7 years like clinical)
- Audit logs retained for 7 years
